1. AGREEMENT TO TERMS
These Terms and Conditions of Use (“Terms”) constitute a binding agreement between you (“User,” “you,” or “your”) and Veridix AI Inc. (“Veridix,” “we,” “us,” or “our”) regarding your access to and use of www.Veridix.io and the Veridix EHR platform (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. SCOPE OF SERVICES
Veridix provides a web-based electronic health record (EHR) and associated digital tools for healthcare providers, clinics, and authorized personnel. Access to certain features may require a paid subscription.
3. USER ELIGIBILITY
By using the Services, you represent that you:
- Are legally authorized to act on behalf of a clinic, practice, or healthcare organization.
- Will use the Services in compliance with all applicable laws, including HIPAA and state privacy regulations.
- Will not use the Services for any unlawful or unauthorized purpose.
4. SUBSCRIPTION AND PAYMENT TERMS
Access to the Veridix EHR platform may require a paid subscription. Subscription fees, billing cycles, and renewal terms are detailed at the time of purchase. All fees are non-refundable except as expressly provided in writing by Veridix. Failure to pay may result in suspension or termination of access.
5. INTELLECTUAL PROPERTY
All content, code, software, trademarks, and related materials within the Services are owned or licensed by Veridix AI Inc. You may not copy, modify, reproduce, or redistribute any part of the Services without express written consent.
6. HIPAA COMPLIANCE AND BUSINESS ASSOCIATE AGREEMENT
Veridix recognizes that certain users of the Services are Covered Entities under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”).
When Veridix processes Protected Health Information (PHI) on behalf of such Covered Entities, Veridix acts as a Business Associate and will execute a Business Associate Agreement (BAA) upon commencement of the subscription.
Each Covered Entity is responsible for ensuring HIPAA compliance within its own organization and for maintaining appropriate authorizations, consents, and workforce safeguards.
7. USER OBLIGATIONS
You agree to:
- Maintain the confidentiality of login credentials.
- Ensure that access is limited to authorized personnel.
- Promptly report any security incidents or unauthorized access to Veridix.
- Not use the Services to transmit, store, or process data in violation of applicable laws.
8. DATA OWNERSHIP AND SECURITY
All PHI entered into the Veridix EHR remains the property of the Covered Entity or individual user, as applicable. Veridix provides secure hosting, encryption, and access control but assumes no responsibility for clinical outcomes, diagnosis accuracy, or treatment decisions made using the system.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Veridix AI Inc., its officers, directors, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of the Services.
In no event shall Veridix’s total liability exceed the amount paid by you for Services in the twelve (12) months preceding the event giving rise to the claim.
10. WARRANTY DISCLAIMER
The Services are provided “AS IS” and “AS AVAILABLE.” Veridix disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. TERMINATION
Veridix may terminate or suspend access to the Services at any time, with or without cause. Upon termination, your right to use the Services ceases immediately, except as otherwise provided by applicable law or the executed BAA.
12. GOVERNING LAW
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. The parties consent to exclusive jurisdiction of the courts located in Broward County, Florida.
13. DISPUTE RESOLUTION
Any dispute arising from these Terms shall first be subject to good-faith negotiation between the parties. If unresolved, the dispute shall be submitted to binding arbitration in Florida under the rules of the American Arbitration Association (AAA). The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.
14. SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
15. AMENDMENTS
Veridix reserves the right to modify or update these Terms at any time. Updates will be posted on www.Veridix.io with a revised “Last Updated” date. Continued use constitutes acceptance of the revised Terms.
